VSXC, VSXC Library -- VSXC License Agreement

This VSXC Library License Agreement (the "Agreement") is a legal agreement between the purchaser of a VSXC Library ("you") and VSXC, ("company") regarding the use of Company's VSXC Library made available by Company in connection with this Agreement, which may include user documentation provided in "online" or electronic form, object code, interface declarations, aseemblies, and sample source code (the "VSXC Library"). By clicking accept in the order process, you agree to the terms and conditions of this Agreement.


GRANT OF LICENSE

Conditioned upon your compliance with the terms and conditions of this Agreement, Company grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, worldwide, royalty-free right and license to: Install and use such numbers of copies of the VSXC Library on such number of devices/computers owned or controlled by you for such number of users as indicated in your order form for the purpose of developing or creating audio-visual content (“Content”); Reproduce and modify any source code included with the VSXC Libraryas a component of the Content; and Reproduce the relevant and necessary components of the VSXC Library(the “Distributable Code”) solely to incorporate the VSXC Library into the content.

USE-SPECIFIC LICENSE TERMS

Your installation and permitted use of the VSXC Library is expressly contingent on the type of license you have purchased. Before purchasing, please make sure that your prospective use of the VSXC Library will not exceed the scope of the license you will be purchasing. The scope of the license for each VSXC Library is as follows:



Free

Commercial free license

License Terms:

Free download, the template on the website are free to use in your commericial projects regardless of the size of the team or company. However, See Restrictions below.

Freelance

Single User license

License Terms:

By purchasing the Freelance license, the VSXC Library may not be hosted on any company server. Under the Freelance license, the VSXC Library is for individual use only. You agree that use of the VSXC Library under the Freelance license shall not exceed more than one (1) individual user, nor shall the VSXC Library be used by any individual on behalf of any studio, company, and/or separate entity. You may use the VSXC Library on commercial projects while working as a freelancer hired by a studio but you may not use a freelance license on studio projects as a staffed artists at that studio. Use by a professional studio or by more than one (1) individual user under the Freelance license shall constitute a violation of this End User License Agreement. See Restrictions below.



Small Studio

2 to 10 Users license

License Terms:

By purchasing under the Small Studio License, the VSXC Library may be hosted on your company server. Under the Small Studio license, the VSXC Library may be purchased only by studios with ten (10) or less 3D artists, in total, including both employees and independent contractors. Use by studios with more than ten (10) artists under the Freelance and/or Small Studio license shall constitute a violation of this End User License Agreement. See Restrictions below.



Enterprise

11 or more Users

License Terms:

If your use of the VSXC Library will include hosting on your company server and/or your studio includes eleven (11) or more 3D artists, in total, including both employees and independent contractors, please contact Company at vsxc.info@gmail.com for a quoted price. If you meet the criteria above, your use of the VSXC Library will exceed the scope of the Freelance and Small Studio licenses offered by Company. Use by studios with eleven (11) or more artists under either the Freelance and/or Small Studio license shall constitute a violation of this End User License Agreement. See Restrictions below.



RESTRICTIONS

Except as expressly provided for herein, you may not, and may not enable others to:

Create, design or develop anything other than the Content; Reverse engineer, reverse compile, or otherwise attempt to reconstruct, identify or discover any source code, underlying ideas, techniques, or algorithms in the VSXC Library or the Company’s current or future products and services (collectively, the “Company Products”), except as and only to the extent any foregoing restriction is prohibited by applicable law or permitted by applicable law notwithstanding the foregoing restriction, or to the extent as may be permitted by licensing terms governing use of any open source software components included within the VSXC Library; Distribute, sell, lease, rent, lend, offer on a service bureau basis or sublicense any part of the VSXC Library to any third party except as expressly provided herein and as necessary to distribute the Content; Remove, obscure, or alter any proprietary rights or confidentiality notices within the VSXC Library or any software, documentation or other materials in it or supplied with it; Create any software that prevents or degrades the interaction of applications developed by others with the VSXC Library or the Company Products; or Use the VSXC Library to create, develop or use any program or software which: Contains any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; Limit the functionality of any software or hardware; or When used in the manner in which it is intended, violates any material law, statute, ordinance or regulation (including without limitation the laws and regulations governing export control, unfair competition, anti-discrimination or false advertising). You may use the VSXC Library solely in connection with the intended uses set forth herein.


MAINTENANCE

You will not receive any support or subscription services for the VSXC Library or any services from Company in connection with the VSXC Library, except as expressly provided in this Agreement or as provided for in a separately executed agreement between you and Company.


PUBLICITY/CREDIT:

You may indicate that your Content is made with “VSXC Library” You will include a reference to the Company Products and Company in any press releases for the Content that relate to Company and its Company Products, and will identify Company as the provider of the Company Products. However, you may not otherwise use “VSXC", or any other name of the Company in connection with your Content or company, or in any URL, product, service, name field or logos created by you, unless provided for in a separately executed agreement between you and Company . You may not use Company’s name, whether registered or unregistered, in any manner that implies that Company endorses or otherwise approves of the Content. Your use of the Company name under this Agreement does not create any right, title or interest in the Company name or any Company name and all goodwill arising from your use inures solely to the benefit of Company.

You are required to credit name of "VSXC Library" and company name (in liner notes, rolling credits, verbal acknowledgment, etc.)



INTELLECTUAL PROPERTY & SUBSCRIPTION RIGHTS

Company and its licensors own, and shall retain ownership of, all right, title, and interest to the VSXC Library and the Company Products, including, without limitation, all copyrights and other intellectual property rights therein. Without limiting the foregoing, the VSXC Library is protected by United States copyright laws, international treaty provisions and other applicable laws. There are no implied licenses or other implied rights granted under this Agreement. All rights not expressly granted hereunder are reserved to Company. You may (but are not required to) provide feedback, comments and suggestions (collectively, “Feedback”) to Company. You acknowledge that the VSXC Library and the Company Products contain valuable proprietary information and trade secrets and that unauthorized or improper use of the VSXC Library and the Company Products will result in irreparable harm to Company and its licensors for which monetary damages would be inadequate and for which Company and its licensors will be entitled to immediate injunctive relief. You hereby grant to Company a non-exclusive, perpetual, irrevocable, paid- up, transferable, sub-licensable, worldwide license under all intellectual property rights covering such Feedback to use, disclose and exploit all such Feedback for any purpose.

  • Sensitive Demographic Information specific to the user (date of birth, emails, passwords) is NOT shared with anyone Except the individual client.
  • Other non-sensitive demographic information (username, first and last name, etc.) is publicly available for identification purposes.
  • Feedback is never shared publicly, however, it may be used to create bug reports and update notes that are shared publicly.


  • Children

    We do NOT knowingly collect information from children aged 13 or under without parental/guardian consent.
